MED-NET Bylaws
ARTICLE II: MED-NET BODIES
II.C: CENTRAL MED-NET BOARD
Section 1. Composition
- The Contractor, i.e. the representative of the organisation having undersigned the contract with the European Committee. The contractor is the legal representative of the network.
- The Chairperson of the Task Force
- One Communication Officer
- One Member responsible for Finances
- One Member responsible for organisation of the Conference
Section 2. Duties
- To maintain the contracting relationship with EU and other financial resources
- To execute the practical, daily, organisation of the network
- To execute the strategic decisions made by the Task Force and/or the members assembly
- To maintain (in co-operation with respective reference groups and project groups) the communication channels with the members, i.e.:
· publication of newsletters, monographs, annual reports, conference proceedings
· mastering of the web site
· organisation of the annual conference
- To co-ordinate the internal communication with other organisational bodies, i.e. reference groups, project groups, Task Force and Advisory Board
- To provide management and fund-raising support to project and reference groups
- To keep administration of expenses and financial management
- To keep administration of members and associated members
- To provide annual reports concerning progress, budget expenditure and developments. to develop and maintain operational co-operation with related associations, networks and external organisations and authorities
- To monitor and stimulate the progress of the thematic reference groups
Section 3. Procedures
- The Task Force endorses the Contractor for the formal contract period, a preparatory period of 6 months, and a finishing period of 6 months. For that same period this faculty shall also accommodate the Central MED-NET Office.
- The Task Force appoints the other members in the CMB and annually reconfirms the membership upon an advice by the members
- The specific tasks of the CMB will be assigned to its members according to their function within the board. The functional assignments to the members shall be at the discretion of the board.
- The CMB shall meet plenary at least four times per year. As often as the chair person or at least two officers regard as necessary, non-plenary meetings may be held under the condition that all members of the CMB are informed concerning the meeting and the decisions taken or the conclusions made.
- The Chairperson shall prepare an annual report of MED-NET's activities, to be presented at the annual MED-NET conference. The CMB shall submit this report at the annual Member's Assembly, held at the same time and place as the Annual Conference.
- The Office shall give notice of the meetings of the CMB, at least one month in advance.
- The chairperson or his/her substitute shall chair the meetings.
- Decisions by the CMB shall be taken on a simple majority of votes. In case of an equality of votes, the chairperson's vote shall be decisive.
